Welcome to Patient Ready, Inc. ("Company," "we," "our," "us"). By accessing or using our digital learning platform, which includes our website, mobile applications, and virtual reality modules ("Platform"), you agree to comply with and be bound by these Terms of Use ("Terms"). If you do not agree with these Terms, please do not use our Platform.

2. Description of Services

Patient Ready, Inc. provides educational software and training solutions using virtual reality, mobile, and web technologies to train medical professionals, including but not limited to nurses, EMTs, and physicians. Our target customers include but are not limited to community colleges, universities, medical device companies, pharmaceutical companies and health/hospital systems.

3. User Accounts

3.1 Account Creation: To access certain features of our Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Responsibilities: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Use of the Platform

4.1 License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Platform for educational purposes and in accordance with these Terms.

4.2 Restrictions: You agree not to:

• Use the Platform for any illegal or unauthorized purpose.

• Modify, adapt, translate, or reverse engineer any portion of the Platform.

• Interfere with or disrupt the integrity or performance of the Platform.

5. Content and Intellectual Property

5.1 Ownership: All content and materials available on the Platform, including but not limited to text, graphics, logos, images, videos, and software, are the property of Patient Ready, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 User Content: By submitting any content to our Platform, you grant us a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, distribute, and display such content in connection with the operation of the Platform.

6. Privacy

Your use of the Platform is also governed by our Privacy Policy, which can be found at patientready.net/privacy-policy. Please review our Privacy Policy to understand our practices regarding your personal information.

7. Disclaimers and Limitation of Liability

7.1 Disclaimer: The Platform is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the Platform, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 Limitation of Liability: To the fullest extent permitted by law, Patient Ready, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Platform; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Platform; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Platform by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform; (f) any injury, physical or otherwise, that may occur with the use of virtual reality equipment or technology of any kind while using or following the use of the Platform, (g) any errors, regulatory considerations, and/or differences in the practice of medicine and medical training that may occur while using our products or that may be due to differences based on geography of you, your organization, or those within your organization who are using our products and services.

8. Indemnification

You agree to indemnify, defend, and hold harmless Patient Ready, Inc., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any rights of another.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our Platform. You are advised to review these Terms periodically for any changes. Your continued use of the Platform after any modifications indicates your acceptance of the new Terms.
